Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 20, 2022 the board of directors (the “Board”) of Air Products and Chemicals, Inc. (the “Company”) elected Tonit M. Calaway as a director of the Company, effective March 1, 2022. Ms. Calaway, 54, serves as the Executive Vice President, Chief Administrative Officer, General Counsel and Secretary of BorgWarner Inc.

In connection with her election, the Board considered the independence of Ms. Calaway under New York Stock Exchange listing standards and the Company’s Corporate Governance Guidelines and concluded that she will be an independent director under these standards. The Board assigned Ms. Calaway to serve as a member of its Corporate and Governance Committee and Management Development and Compensation Committee, effective March 1, 2022.

Ms. Calaway will receive compensation and be subject to indemnification for serving as a member of the Board consistent with the Company’s normal arrangements for non-employee directors, which are described in the Company’s definitive proxy statement for its 2022 annual meeting of stockholders. There are no arrangements or understandings between Ms. Calaway and any other person pursuant to which Ms. Calaway was elected as a director, and neither Ms. Calaway nor any of her immediate family members is a party, either directly or indirectly, to any transaction that would be required to be reported under Item 404(a) of Regulation S-K.

Tonit Calaway Elected to Air Products’ Board of Directors

LEHIGH VALLEY, Pa. (February 22, 2022) – Tonit Calaway has been elected to Air Products’ (NYSE:APD) Board of Directors effective March 1, 2022. She will serve as a member of the Air Products Board’s Corporate Governance and Nominating Committee and its Management Development and Compensation Committee.

Ms. Calaway is Executive Vice President and Chief Administrative Officer, General Counsel and Secretary of BorgWarner Inc. (NYSE: BWA), a $14 billion global product leader in delivering innovative and sustainable mobility solutions for the vehicle market. Before joining BorgWarner, Ms. Calaway held various leadership positions during her 18-year career at Harley-Davidson, Inc., culminating in her role as Vice President, Human Resources and President of The Harley-Davidson Foundation. Prior to Harley-Davidson, Ms. Calaway worked for two Milwaukee-based law firms.

Ms. Calaway is a graduate of the University of Wisconsin-Milwaukee and received her Juris Doctorate from the University of Chicago Law School. She is a member of the State Bar of Wisconsin.
